This essay will discuss a selection of subjects on inter-firm networks. There are two reasons behind the chosen themes of this study: the first one relates to the continuous evolution of the regulatory framework, the second lies in the variety and diversity of contents and outlines presented by the subject. This essay, first provides a detailed description of the whole legislative evolution of the regulation of networks, explaining the effects of such evolution on the qualification and classification of the legal model and then analyzes the networks from the outlined perspective. The research field of the subject of this study is delimited by the rules of attribution on one side and by the liability rules on the other. We have tried to identify the regulation on accountability for the economic transactions resulting from the interaction of many businesses linked together by a network. Then we attempted to investigate and understand "who is accountable or how to determine accountability" for such transactions, hence which liability rules are applicable. We progressed in the observation of the "inter-firm network" model with the intent to conduct the investigation applying criteria that enable to understand all its complexity and wholeness, the multiple and conflicting interests concurrent in activities that are the expression of a private autonomy, as in the economic contest. The guideline applied to the analysis is the distinction between contractual networks that don't entail the creation of a new legal corporation and those with legal subjectivity, but relevance was given ,within each classification of networks, to their distinctive features. The investigation led to outline issues that have offered several insights: the scope of the term "subjectivity", the compatibility (or otherwise) of the regulation of networks with the standards consortium regulation, then the hypothesis of action by the common agency without representation and some interesting considerations regarding the accountability of such actions. We came to observe that when it comes to networks the obligations, from the perspective of their consequent accountability, have to be charged according to an objective criteria of "relevance" to the common program of the network, and this applies regardless of the attribution based on the criteria of representative power. The investigation of the subject of limited liability in networks has led to analyze the issue of separation and autonomy related to the common capital fund and to study it both in networks with subjectivity and in the ones which are purely contractual (provided they have a capital fund). Both profiles examined have provided us with an opportunity to understand how the network, and the network contract in particular, is a model that in many respects may lead to question the traditional categories, calling the interpreter to perform a careful analysis in order to be able identify its distinctive elements.

La tesi si occupa di una selezione di tematiche relative alle reti d'€™impresa. Alla base della scelta dei profili di indagine vi sono due ordini di ragioni: la prima attiene alla vicenda legislativa in continua evoluzione, la seconda attiene alla caratterizzazione stessa della fattispecie che presenta contorni e contenuti variabili. Dopo aver ripercorso tutto l'€™excursus evolutivo della vicenda legislativa, dando conto delle modifiche apportate alla norma con le conseguenze in termini di qualificazione e inquadramento della fattispecie, si è poi passati ad analizzare le reti dall'angolo prospettico prescelto. Il campo di osservazione, oggetto della presente tesi è delimitato da un lato dalle regole di imputazione, dall'altro dalle regole di responsabilità. Si è cercato di individuare quali siano le regole di imputazione che riguardano le operazioni economiche che si producono in forza dell'agire da parte di più imprese legate tra loro in un contratto di rete. Successivamente si è passati a comprendere "chi o come si risponda" per le operazioni intraprese ossia quali regole di responsabilità patrimoniale trovino applicazione. Si è proceduto nell'osservazione della fattispecie "rete d'impresa" dando conto del fatto che suddetta operazione dev'€™esser condotta secondo criteri in grado di cogliere tutta la complessità e completezza, la molteplicità ed il conflitto di interessi che concorrono nell'attività delle reti d'€™impresa, di cui l'autonomia privata è espressione, ossia nella dimensione dell'operazione economica. L'approccio all'analisi è stato guidato secondo la distinzione tra reti prive di soggettività e reti con soggettività giuridica, e all'€™interno di ciascuna categoria si è posta attenzione a caratteristiche peculiari. L'analisi ha portato a soffermare l'attenzione su questioni che hanno offerto diversi spunti di riflessione: dalla portata del termine "€œsoggettività"€, alla compatibilità (o meno) della disciplina sulle reti con le norme consortili, fino all'€™ipotesi dell'agire dell'€™organo comune mandatario senza rappresentanza e le interessanti considerazioni in ordine alla imputabilità degli atti da questo posti in essere. Si è giunti ad osservare che nelle reti d'€™impresa le obbligazioni, viste sotto il profilo della responsabilità ad esse conseguente, vanno imputate secondo un criterio oggettivo di "€œpertinenza"€ o riconducibilità al programma comune della rete e tutto questo a prescindere, quindi, da un'imputazione secondo il criterio della spendita del nome. L'approfondimento del tema della responsabilità patrimoniale nelle reti ha condotto ad analizzare il tema della separazione ed autonomia patrimoniale che caratterizzano il fondo e a rintracciare questa caratteristica tanto nelle reti con soggettività, quanto in quelle meramente contrattuali (purché dotate di fondo). Entrambi i profili analizzati hanno offerto occasione per comprendere come la rete d'€™imprese, ed in particolare il contratto di rete, si riveli essere una fattispecie che, sotto diversi aspetti, può mettere in discussione le categorie tradizionali, invitando l'€™interprete a un'attenta attività di analisi per poter giungere ad inquadrarne le caratteristiche.
